Agreement to Terms

By accessing or using AngelSend ("Service"), operated by AW3 Technology, Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

AngelSend is an AI-powered outreach and sales engagement platform that provides:

• Multi-Channel Outreach: Email campaigns, LinkedIn Sales Navigator automation, and voice calling capabilities
• AI Voice Agents: Automated voice sales and support representatives powered by AI for outbound and inbound calls
• AI Chat Agents: Embeddable AI-powered chat widgets (Intercom-style) for customer support and engagement
• Lead Generation & Scraping: Automated data collection from various sources including LinkedIn, Google Maps, and other platforms
• Contact Management: CRM-style tools for managing contacts, campaigns, and outreach sequences
• Email Warmup: Automated email deliverability optimization and sender reputation management
• Analytics & Reporting: Campaign performance tracking and insights
• Team Collaboration: Multi-user workspaces and project management
• Third-Party Integrations: Connections to Google Workspace, LinkedIn, Twilio, and other services

Account Registration

To use our Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities under your account
• Not share your account with unauthorized users

Acceptable Use Policy

Your use of the Service is governed by our full Acceptable Use & Anti-Spam Policy, available at angelsend.ai/acceptable-use and incorporated into these Terms by reference. In particular, you agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited communications, or engage in deceptive practices
• Use AI voice agents to impersonate real individuals without consent
• Make harassing, threatening, or fraudulent phone calls
• Scrape or collect data in violation of platform terms of service
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for illegal activities or to harm others
• Impersonate any person or entity or misrepresent your affiliation
• Violate CAN-SPAM Act, TCPA, GDPR, CCPA, or other data protection regulations
• Use the Service to collect sensitive personal information without proper consent
• Exceed rate limits or abuse API access

AI and Automation Features

Our Service includes AI-powered features. By using these features, you acknowledge and agree that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and approving AI-generated communications before sending
• AI voice agents must be disclosed as automated systems when required by law
• You will not use AI features to create misleading, harmful, or illegal content
• We may use your interactions to improve our AI systems (in anonymized form)
• AI features are provided "as is" without guarantees of specific outcomes

Voice Calling and Telephony

If you use our voice calling features, you agree to:

• Comply with the Telephone Consumer Protection Act (TCPA) and similar regulations
• Obtain proper consent before placing automated or AI-assisted calls
• Honor do-not-call requests and maintain appropriate suppression lists
• Not use caller ID spoofing for fraudulent purposes
• Limit call frequency and timing in accordance with applicable laws
• Disclose when calls are being recorded, as required by law
• Accept responsibility for all charges associated with phone usage

Lead Scraping and Data Collection

Our lead scraping and data enrichment features are subject to the following terms:

• You are solely responsible for ensuring your data collection activities comply with applicable laws
• You must respect robots.txt files and platform terms of service
• Data collected must be used in compliance with privacy regulations
• We do not guarantee the accuracy, completeness, or legality of scraped data
• You must have a lawful basis for processing any personal data collected
• Third-party platforms may restrict or terminate access at any time

Third-Party Integrations

Our Service integrates with third-party platforms including Google Workspace, LinkedIn, Twilio, and others. When using these integrations:

• You must comply with each platform's terms of service and acceptable use policies
• You authorize us to access your accounts on these platforms as necessary to provide the Service
• We are not responsible for changes, restrictions, or outages from third-party providers
• API credentials and tokens are stored securely but you remain responsible for their use
• Third-party integrations may be modified or discontinued without notice

Compliance Requirements

You are solely responsible for ensuring your use of the Service complies with:

• Anti-spam laws (CAN-SPAM, CASL, etc.)
• Telemarketing regulations (TCPA, TSR, etc.)
• Data protection regulations (GDPR, CCPA, etc.)
• LinkedIn, Google, and other platform terms of service
• Industry-specific regulations applicable to your business
• Recording consent laws in applicable jurisdictions

Subscription and Payment

Our Service operates on a credit-based system with subscription tiers:

• Credits are used for various platform actions including outreach, AI usage, and phone calls
• Subscription fees are charged in advance on a recurring basis (monthly or annually)
• You authorize us to charge your payment method for all fees
• Unused credits may expire based on your subscription terms
• Subscription fees are non-refundable except as required by law
• We may change our pricing with 30 days' notice
• Failure to pay may result in account suspension or termination
• Phone usage may incur additional per-minute charges

Team and Collaboration

If you use our team collaboration features:

• Account owners are responsible for their team members' compliance with these Terms
• You may grant different permission levels to team members
• Data shared within a team workspace is accessible to authorized team members
• Team usage counts against the workspace's credit allocation
• Removing team members does not delete their historical activity

Intellectual Property

The Service and its original content, features, and functionality are owned by AW3 Technology, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely to provide and improve the Service.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in the Privacy Policy. You are responsible for the data you upload and share through the Service, including contact data and campaign content.

Where we process personal data on your behalf, our Data Processing Agreement (available at angelsend.ai/dpa and incorporated into these Terms by reference) applies. It includes our commitments on security, breach notification, international transfers, and the subprocessors we use, which are listed at angelsend.ai/subprocessors.

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation. Third-party service outages (LinkedIn, Google, Twilio, etc.) may affect functionality.

Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the past 12 months
• We are not responsible for your compliance with laws and regulations
• We are not liable for actions taken by third-party platforms
• We are not responsible for the accuracy of AI-generated content or scraped data
• We are not liable for any harm resulting from your outreach campaigns

Indemnification

You agree to indemnify and hold harmless AW3 Technology, Inc., its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses arising from your use of the Service, violation of these Terms, or your outreach activities including but not limited to spam complaints, TCPA violations, and platform bans.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Abuse of the platform or excessive spam complaints
• Fraudulent or illegal activity
• Non-payment of fees
• Requests from law enforcement

Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
